Terms of Service

The basic rules for using the Yota Hub website and platform. Use the site = you agree to these terms.

1. Agreement

By accessing or using theyotahub.com (the "Site") or any service we offer (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree, please don't use the Site.

You must be at least 13 years old to use the Service. If you're under 18, you must have a parent or guardian's permission.

2. What We Offer

Yota Hub is building a community platform for Toyota truck owners. The Site currently offers:

• A waitlist to be notified when the platform launches.
• An optional profile builder for early supporters.
• A demo Garage dashboard previewing what the future product looks like.
• Public information, events, and content.

The full platform — forums, marketplace, AI tools, etc. — is in development. Features described on the Site may change before launch.

3. Your Account and Information

If you submit information to the waitlist or create a profile, you agree to:

• Provide truthful, accurate information.
• Not impersonate anyone else.
• Not submit information you don't have permission to share (e.g., someone else's photos).
• Keep your account secure once we have full accounts (don't share your password).

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose.
• Harass, threaten, or harm others.
• Post spam, malware, or fraudulent content.
• Pretend to represent Toyota Motor Corporation, its dealers, or any other organization without authorization.
• Attempt to break, hack, scrape, or overload the Site.
• Reverse-engineer the Service or copy its design for commercial use.
• Use the Service to compete with us or build a directly competing product.

We can suspend or remove accounts that violate these rules.

5. User Content & Content License

5.1 You Own Your Content

Anything you post, upload, or contribute to the Service — including photos, videos, profile information, truck nicknames, build sheets, mods lists, service logs, marketplace listings, forum posts, comments, ratings, reviews, event submissions, articles, messages, and any other content you create or share ("User Content") — remains your property. You keep ownership and copyright in your User Content.

5.2 The License You Grant Us

By posting, uploading, or otherwise submitting User Content to the Service, you grant Yota Hub and its affiliates, successors, assigns, partners, sponsors, contractors, and licensees a non-exclusive, fully paid-up, royalty-free, transferable, sublicensable, perpetual, irrevocable, worldwide license to host, store, cache, use, copy, reproduce, modify, adapt, edit, crop, enhance, translate, publish, publicly display, publicly perform, transmit, broadcast, distribute, create derivative works of, and otherwise exploit your User Content for any and all purposes, including but not limited to:

• Operating, providing, improving, and promoting the Service;
• Marketing, advertising, and promotional materials, in any and all media now known or later developed (including websites, social media, email newsletters, paid advertisements, video content, podcasts, billboards, print, broadcast, and merchandise);
• Featuring your truck, build, photos, story, or contributions on Yota Hub's social media accounts (Instagram, TikTok, Facebook, X, YouTube, Pinterest, etc.) without prior notice or compensation to you;
• Using your photos and User Content in paid advertisements, sponsored content, partnerships, brand collaborations, and merchandise (such as stickers, hoodies, apparel, posters, lookbooks);
• Editing, cropping, resizing, watermarking, color-correcting, and otherwise modifying your photos as needed for promotional use;
• Creating compilations, lookbooks, "best of" features, year-in-review content, and other derivative works that include your User Content alongside other members' content;
• Sublicensing your User Content to third-party partners, sponsors, vendors, press, and media outlets in connection with covering or featuring Yota Hub;
• Showcasing your User Content in pitch decks, investor materials, press releases, and any other business or promotional context.

You waive any moral rights, attribution rights, and rights of publicity to the maximum extent permitted by law in connection with this license. This license survives the termination or deletion of your account. Even if you delete your account or specific User Content, the license you granted to any User Content already used in promotional materials, archives, advertising campaigns, merchandise, or sublicensed to third parties remains in effect for those uses.

5.3 Your Representations About User Content

By submitting User Content, you represent and warrant that:

• You either own the User Content or have all necessary rights, licenses, consents, and permissions to grant the license described above;
• Any people identifiable in your User Content (including yourself) have consented to having their image used as described above, or you have the legal right to grant such consent on their behalf;
• Your User Content does not infringe any third party's intellectual property rights, privacy rights, publicity rights, or other rights;
• Your User Content does not violate any law, contract, or duty;
• Your User Content is accurate (e.g., the truck specs you list are real, the parts you sell exist and are described honestly).

5.4 Removal & Moderation

We may remove, modify, or refuse to publish any User Content for any reason at our discretion, including content that violates these Terms, that we believe is unlawful, harmful, infringing, or that we simply judge to be unsuitable for the Service. We are not obligated to monitor User Content but reserve the right to do so.

6. Marketplace & Member-to-Member Transactions

Yota Hub operates a marketplace where members can list parts, accessories, tools, and complete vehicles for sale. Yota Hub is not a party to any transaction between members. We do not buy, sell, broker, escrow, or otherwise facilitate the actual exchange of money or goods. We simply provide the listing platform and messaging tools.

This means:

• You are responsible for verifying the identity, reputation, and trustworthiness of any party you transact with;
• You are responsible for inspecting items, agreeing on price, arranging payment, arranging shipping or pickup, and resolving any disputes directly with the other party;
• Yota Hub does not guarantee that any listed item is authentic, accurately described, in working condition, or that any seller will deliver as promised;
• Yota Hub does not guarantee that any buyer will pay or accept delivery as promised;
• You should use trusted payment methods that offer buyer/seller protection (such as PayPal Goods & Services). We recommend against payment methods like Friends & Family, cash app for strangers, gift cards, wire transfers, or cryptocurrency, which offer no protection;
• Yota Hub is not liable for any losses, damages, fraud, theft, injury, or other harm arising from member-to-member transactions, communications, meetings, or shipments;
• If you have a dispute with another member, attempt to resolve it directly. We may, at our discretion, suspend or remove members who repeatedly violate marketplace rules or engage in fraudulent behavior, but we are not an arbiter or guarantor.

6A. Driveway Pros & In-Person Services

Yota Hub offers a "Driveway Pros" feature that lets members offer or request mechanical, repair, fabrication, tuning, or other vehicle-related services to each other in person. Yota Hub does not employ, supervise, train, vet, license, insure, certify, or endorse any Driveway Pro. We do not match members based on skill, do not verify credentials, do not handle payments, and are not present at any service interaction. We provide a directory and a messaging tool — nothing more.

By using Driveway Pros — as either a provider or a requester — you specifically acknowledge and agree:

• All connections, communications, and services are between you and the other member directly. Yota Hub is not a party to any service interaction.
• You assume all risk of personal injury, property damage, vehicle damage, theft, fraud, mechanical failure, financial loss, or any other harm that may result from contacting, meeting, or doing business with another member found through the Service.
• You are responsible for verifying the identity, qualifications, insurance, licensure, tools, and reputation of any Driveway Pro you engage. Reviews on the Service are user-generated and unverified.
• You are responsible for agreeing on scope, price, schedule, and payment with the other member directly. Yota Hub does not facilitate, hold, escrow, or process payment.
• Any work performed on your vehicle by a Driveway Pro is done at your own risk. Yota Hub makes no warranty about the quality, safety, legality, or outcome of any service.
• If you are providing services, you are responsible for your own taxes, insurance, licensing, compliance with local regulations, and any other obligations that come with operating as a service provider in your jurisdiction.
• Yota Hub is not liable for any losses, injuries, damages, or disputes arising from Driveway Pros connections, regardless of cause.
• Mandatory reviews are required after every connection. Honest, fact-based reviews are protected; reviews containing personal attacks, threats, slurs, or knowingly false statements may be removed at our discretion.

If you are not comfortable assuming these risks, do not use Driveway Pros.

6B. Events, Meetups, Trail Runs & In-Person Gatherings

The Service lists and promotes events — meetups, expos, trail runs, swap meets, and similar gatherings — submitted by members or third parties. Yota Hub does not organize, host, run, supervise, insure, or sponsor any event. We provide a calendar listing and a comment thread. Attendance is at your own risk.

By attending or RSVPing to any event listed on the Service:

• You acknowledge that off-road driving, trail runs, modifications, and large gatherings of vehicles carry inherent risks of personal injury, vehicle damage, theft, and property loss.
• You assume full responsibility for your safety, your passengers' safety, your vehicle, and any property you bring.
• You will follow all rules, terms, and waivers set by the actual event organizers, who are not Yota Hub.
• Event details (date, time, location, fees, rules) are submitted by members or third parties and may be inaccurate or change without notice. Verify before traveling.
• Yota Hub is not liable for any losses, injuries, damages, or disputes arising from attendance at, communication about, or RSVPs to any event listed on the Service.

7. Member Conduct & Reputation

Yota Hub is a community. To keep it functioning, members agree to:

• Treat other members with basic respect — no harassment, threats, slurs, or personal attacks;
• Provide accurate information in profiles, listings, and posts;
• Honor commitments made in private messages or marketplace negotiations;
• Pay for items you agree to purchase, ship items you agree to sell;
• Leave honest, fact-based ratings and reviews when prompted;
• Report scams, fraud, or harmful behavior using the Report function;
• Not impersonate other members, vendors, or brands.

Repeated violations may result in restriction or termination of your account.

8. Pricing and Payments

The core community is free to join and will remain free forever. Some power-user features may eventually require a paid subscription. If you sign up for a paid feature, the specific terms (price, billing cycle, refund policy) will be presented at checkout. The current Site does not collect payments.

9. Not Affiliated with Toyota

Yota Hub is an independent community platform. We are not affiliated with, endorsed by, or sponsored by Toyota Motor Corporation, Toyota Motor Sales U.S.A., or any official Toyota entity. Names like "Tacoma," "Tundra," "Hilux," "T100," and "TRD" are trademarks of their respective owners and are used on the Site only to refer to the vehicles our community owns.

10. No Warranties — Use the Service "As Is"

The Service is provided "as is" and "as available." We don't promise it will be uninterrupted, error-free, or always accurate. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Off-Road and Mechanical Disclaimer

Information shared on the Service — including build sheets, modification suggestions, off-road tips, and repair guides — is for informational and entertainment purposes only. It is not professional mechanical, safety, or legal advice. Modifying or repairing your vehicle, driving off-road, or using parts identified through the Service is done entirely at your own risk. Always consult a qualified mechanic and follow manufacturer guidelines.

12. Limitation of Liability

To the fullest extent permitted by law, Yota Hub and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or vehicle damage — arising from your use of the Service. This includes (without limitation) any losses arising from: member-to-member transactions; Driveway Pros connections or services; in-person meetups, expos, trail runs, or events listed on the Service; off-road driving or vehicle damage; mechanical work performed by or for another member; missed events; lost photos; harassment by other members; or fraud committed by other members. You use the Service entirely at your own risk. Our total liability for any claim arising from the Service is limited to $50 USD or the amount you paid us in the past 12 months, whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless Yota Hub, its operators, employees, contractors, partners, and licensees from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your interactions or transactions with other members; or (e) your violation of any third-party rights, including intellectual property, privacy, or publicity rights.

14. Third-Party Links

The Site links to external content (event websites, news articles, YouTube videos, marketplace partners, etc.). We don't control those sites and aren't responsible for their content, accuracy, or privacy practices.

15. Changes to the Service or Terms

We may modify, suspend, or end the Service at any time. We may update these Terms; if we make material changes, we'll update the date at the top and notify members by email or in-app notification. By continuing to use the Service after changes, you accept the updated Terms. If you do not accept the changes, you must stop using the Service.

16. Termination

You can stop using the Service at any time and request account deletion by emailing us. We can suspend or terminate access for any user who violates these Terms or for any reason at our discretion, with reasonable notice when possible. The content license you granted us in Section 5 survives termination of your account, including for any User Content already incorporated into promotional materials, archives, or sublicensed to third parties.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. You waive any right to participate in a class action against Yota Hub. Notwithstanding the foregoing, either party may bring an individual action in small-claims court. This arbitration provision does not preclude either party from seeking injunctive or other equitable relief in court for the protection of intellectual property rights.

18. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms (together with the Privacy Policy) constitute the entire agreement between you and Yota Hub regarding the Service and supersede any prior agreements.
